Terms of Service — SimpleContractorSystems (TCS)
Entity / product: Telecom Contractor Solutions / SimpleContractorSystems (“TCS,” “we,” “us”). Customer: the contractor organization that creates an account (“Customer,” “you”).
These Terms govern access to and use of the TCS Services (including Map Annotator, office tools, and related websites). By creating an account, clicking accept, or using the Services, you agree to these Terms. If you are accepting on behalf of a company, you represent you have authority to bind that company.
No public pricing. Subscription fees, overages, and setup fees are set only in an Order Form or written proposal — not on the public marketing site.
1. The Services
TCS provides software for telecom contractors to annotate field maps, submit jobs, tally billable marks, and related office workflows. Features may be added, changed, or offered as later modules. Later modules (for example Construction Closeout, Job Tracker, Sub Network) are available only when offered and purchased; listing them on a proposal does not promise a ship date.
2. Accounts and eligibility (US-only)
The Services are offered for use by businesses in the United States only. You must provide accurate account information and keep your Account Owner email under your control.
3. Roles — controller and processor
For jobs, maps, crew, and homeowner or site data Customer enters or generates in the Services, Customer (Account Owner) is the controller and TCS is the processor of that data. TCS is controller only of its own billing and account records. A personal data request from an individual does not require TCS to erase Customer’s organization or business records (jobs, maps, tallies, invoices, and similar).
4. Office login and field login
Office. Account Owner, administrator, project manager, billing, and data-rights verification use the office authentication method TCS provides (currently magic link / email-based login).
Field (Annotator). Customer may enable field login using an organization code paired with the last four digits of a roster phone number. Field credentials are for field use under Customer’s account only and do not create a separate consumer or billing relationship with TCS. Field credentials alone do not unlock Account Owner, billing, admin, or statutory privacy-request verification.
Customer provisions, rotates (including the organization code), and revokes field credentials; keeps last-four identifiers accurate and unique within the org as the product requires; and is responsible for shared tablets and devices it controls (including sign-out / user switching). TCS may apply session limits, lockouts, and rate limits; those do not shift Customer’s responsibility. TCS stores an irreversible (hashed) verifier of the field-authentication secret.
Unauthorized field access. Customer shall indemnify, defend, and hold harmless TCS and its officers, directors, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to unauthorized or contested field access attributable to Customer’s roster hygiene, shared credentials, shared devices, failure to revoke field credentials, or failure to rotate an organization code, except to the extent caused by TCS’s willful misconduct.
5. Intellectual property and limited license
The Services, including all software, interfaces, documentation, designs, and related materials provided by TCS, are and remain the proprietary property of TCS and its licensors. All rights not expressly granted are reserved. These Terms do not sell, assign, or transfer ownership of the Services or any TCS intellectual property to Customer.
Subject to these Terms and timely payment of applicable fees, TCS grants Customer a limited, non-exclusive, non-transferable (except to an affiliate in a permitted assignment), non-sublicensable right to access and use the Services during the subscription term solely for Customer’s internal business operations in the United States. Customer will not (and will not allow others to): reverse engineer, decompile, or attempt to derive source code from the Services except where applicable law forbids that restriction; copy, modify, or create derivative works of the Services; rent, lease, sell, resell, or provide the Services to third parties as a service bureau except as expressly allowed (for example Sub Network when enabled); remove proprietary notices; or use the Services to build a competing product.
Customer data. As between the parties, Customer retains all right, title, and interest in Customer’s jobs, maps, tallies, invoices, and other content Customer submits to the Services. TCS’s rights to process that data are as described in these Terms and the Privacy Policy (processor for Customer-controlled field/job data; limited license for de-identified aggregates in §10).
6. Acceptable use
You will not misuse the Services, attempt unauthorized access, interfere with other customers, or use the Services outside the United States in violation of these Terms. You are responsible for your users’ and (when enabled) subcontractors’ use under your account.
7. Subcontractors (Sub Network — when enabled)
If Customer enables Sub Network or otherwise invites subcontractors under Customer’s account: Customer (the prime) remains TCS’s client, manages the account, and indemnifies TCS from subcontractors and third parties operating under that account. Prime Account Owner remains controller of shared jobs/maps/homeowner data; a sub is a restricted recipient of assigned work and controller only of its own crew login profile. A sub’s personal data request cannot erase the prime’s organization or business records. Do not merge two companies into one tenant. TCS invoices the prime centrally; any pass-through of per-sub fees is the prime’s disclosed commercial arrangement.
8. Fees and Order Forms
Fees appear only on an Order Form or written proposal signed or accepted by Customer. Usage metering (for example job submits) follows the Order Form. Unless the Order Form says otherwise, unpaid invoices may affect commercial export of product data (see §9) but do not block a statutory profile privacy request as described in our Privacy Policy.
9. Export and cancellation
After cancelation, if Customer’s account is paid up, TCS will make available a commercial export of Customer’s data (not photos) for 30 days. Statutory privacy rights for an individual’s login profile are described in the Privacy Policy and are not blocked solely by unpaid invoices. Live “erase my data” product tooling may be limited until TCS completes its operations program; requests can be routed as described in the Privacy Policy.
10. Aggregated data
By signing up, Customer consents that TCS may use and license de-identified, aggregated marker, billing-code, and production statistics (stripped of identity) for product improvement and industry trends. A privacy request or offboarding does not unwind aggregates that no longer identify a person or Customer.
11. Confidentiality and security
Each party will protect the other’s confidential information. TCS will implement reasonable administrative, technical, and organizational measures appropriate to its role as processor. No method of transmission or storage is fully secure.
12. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” TO THE MAXIMUM EXTENT PERMITTED BY LAW. TCS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT GENERATED TALLIES, INVOICES, OR QUANTITIES ARE FIT FOR ANY PARTICULAR BILLING DISPUTE WITHOUT CUSTOMER REVIEW. Customer remains responsible for invoices it issues to its own clients.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TCS’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS CUSTOMER PAID TO TCS FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. TCS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFITS DAMAGES. Some limits may not apply where prohibited.
14. Indemnity (Customer)
Customer will indemnify and hold TCS harmless from claims arising out of Customer’s data, Customer’s use of the Services, Customer’s invoices to third parties, field-credential or shared-device issues (§4), and subcontractors under Customer’s account (§7), except to the extent caused by TCS’s willful misconduct.
15. Governing law and venue
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles. The exclusive venue for any dispute arising out of or relating to this Agreement is the state or federal courts located in Harris County, Texas, and each party consents to personal jurisdiction there.
16. Changes
We may update these Terms by posting a new version on the site and updating the effective date, or by notice to the Account Owner. Continued use after the effective date constitutes acceptance where permitted by law. Material changes to paid subscriptions will be handled as required by the Order Form or applicable law.
